The rules that govern access to the MedTrade platform and its business workflows.

These Terms of Service govern access to and use of the MedTrade platform, including public discovery pages, supplier-facing workspaces, buyer and supplier inquiry flows, account services, organization tools, and related content, communications, and support routes.

By creating an account, using the public site, accessing any workspace, publishing supplier or product information, or otherwise using the service, you agree to be bound by these Terms. If you do not agree, do not use the platform.

You represent that you are legally able to enter into these Terms and, if you use the platform on behalf of a company, organization, or other entity, that you have authority to bind that entity and to act for it within the relevant workspace or business process.

If you invite, add, or manage other users in a supplier workspace, you are responsible for ensuring that your use of those role and permission features is lawful and properly authorized.

MedTrade provides a B2B sourcing platform for supplier visibility, product discovery, business inquiry routing, and related account or organization workflows. MedTrade is not a buyer, seller, distributor, importer, exporter, broker, escrow provider, or payment intermediary, and is not automatically a party to any transaction, negotiation, or off-platform deal between users.

Platform content, supplier claims, product descriptions, credentials, and business communications may be created or supplied by users. MedTrade may moderate, restrict, or remove content, but does not guarantee that every listing, profile, inquiry, attachment, or representation made by a user is complete, lawful, accurate, or fit for any specific business purpose.

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and MedTrade, and neither party has authority to bind the other.

You must provide accurate registration and account information, maintain the security of your credentials, and promptly notify MedTrade of unauthorized access or suspected compromise. You are responsible for activity that occurs under your account to the extent permitted by law.

If you operate inside an organization or supplier workspace, you are also responsible for respecting workspace roles, internal company authority, and access boundaries. MedTrade may rely on the permissions and role assignments reflected inside the platform unless we have reason to believe misuse, fraud, or policy violations are occurring.

You remain responsible for content you submit, upload, publish, or manage through the platform, including supplier profiles, company details, product listings, model numbers, brand references, inquiry messages, credentials, public proof materials, and uploaded files. You represent that you have the rights and authority needed to provide that content and to authorize MedTrade to process and display it according to platform workflows and visibility settings.

You grant MedTrade a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, adapt, distribute, and process submitted content, including through our service providers, as necessary to operate, improve, secure, moderate, and support the platform. This license continues for as long as the relevant content needs to remain on the platform or in retained operational records, subject to applicable law and our retention obligations. You may request removal of content you submitted as described in our Privacy Policy, subject to applicable legal retention requirements.

You may not use MedTrade to submit false or misleading supplier or product information, infringe intellectual property rights, distribute malware, interfere with platform operations, bypass access controls, scrape or harvest data without authorization, abuse inquiry channels, impersonate another person or organization, or use the service for unlawful, deceptive, or abusive purposes.

You also may not use MedTrade to upload materials or make claims that you know are fraudulent, improperly authorized, commercially deceptive, export-restricted in an unlawful way, or otherwise likely to expose other users or MedTrade to avoidable legal or operational harm.

Use of the platform is also subject to our Privacy Policy. MedTrade uses cookies and similar technologies for session management, security, and analytics as described in our Privacy Policy.

MedTrade may review, restrict, suspend, remove, unpublish, or investigate accounts, workspaces, listings, inquiry activity, uploaded materials, or other content where we believe action is necessary for legal compliance, security, abuse prevention, policy enforcement, commercial integrity, or platform stability.

We may preserve logs, workflow events, role changes, moderation decisions, or account history as needed to investigate misuse, respond to complaints, support internal review, or comply with legal obligations.

Unless expressly stated otherwise in writing, access to MedTrade is offered according to the current product and workspace conditions displayed or communicated by the platform. Current supplier inquiry pricing is published on our pricing page. Future paid plans, subscriptions, feature gating, or commercial modules may be introduced or changed by MedTrade.

You are responsible for taxes, duties, import or export consequences, and other governmental charges connected with your use of the platform or with transactions or business relationships formed through or after use of the platform.

The platform is provided on an “as is” and “as available” basis to the fullest extent permitted by law. MedTrade does not guarantee uninterrupted availability, error-free operation, transaction completion, commercial success, regulatory suitability, supplier performance, buyer quality, or the accuracy of third-party content.

To the maximum extent permitted by law, MedTrade is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business opportunity, or data arising from or related to use of the platform. Any liability that cannot lawfully be excluded is limited to the minimum extent allowed by applicable law.

Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded under applicable law, including liability for death or personal injury caused by negligence and liability for fraud or fraudulent misrepresentation.

MedTrade may suspend or terminate access to the service, individual accounts, organization workspaces, public listings, uploaded materials, or specific features where we believe suspension or termination is required for legal, security, operational, or policy reasons, including breach of these Terms.

Upon suspension or termination, some content, logs, records, or workflow history may continue to be retained where necessary for platform integrity, legal compliance, dispute handling, fraud prevention, or business records management.

MedTrade is a discovery and inquiry platform for business-to-business sourcing of medical equipment and related products. MedTrade is not a manufacturer, importer, distributor, or “economic operator” of medical devices under the EU Medical Device Regulation, the US Food and Drug Administration framework, or any other regulatory regime: MedTrade does not place any device on the market, make any device available on the market, put any device into service, or import or export any device, and does not clear, certify, register, or validate any device.

MedTrade does not verify that any listed product is registered, cleared, or compliant for any market (including FDA clearance, CE marking or MDR conformity, or country-specific registration), and does not independently verify condition, age, safety, performance, calibration, or warranty claims made by suppliers, including labels such as “new”, “used”, or “refurbished”.

Suppliers are solely responsible for the accuracy, lawfulness, and completeness of their product representations, for any regulatory status they claim, and for any warranties or guarantees they offer. Buyers are responsible for verifying regulatory status, clinical suitability, import and registration requirements, and safe and lawful use before purchasing or using any device.

Nothing on the platform constitutes medical advice or a recommendation of any device for clinical use, and the platform must not be relied on for decisions about patient care.

To the maximum extent permitted by law, you agree to indemnify and hold harmless MedTrade and its affiliates, officers, directors, employees, and agents from and against any claims made by third parties, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to (i) your use of the platform, (ii) content you submit or publish through the platform, (iii) your breach of these Terms or of any applicable law or regulation, including product, medical device, export control, sanctions, and data protection requirements, or (iv) any transaction, negotiation, or business relationship you form through the platform.

You represent that your use of the platform and any transaction, import, export, or transfer arranged through it comply with all applicable export control and sanctions laws and regulations, including those of the United States and the European Union, and that neither you nor the entity you represent is a sanctioned or restricted person, or located, organized, or resident in a sanctioned jurisdiction.

MedTrade may restrict, suspend, or refuse service, listings, or transactions where it reasonably believes compliance with export control, sanctions, or other law may be at risk.

MedTrade respects intellectual property rights. If you believe content on the platform infringes your copyright, trademark, or other intellectual property rights, you may send a notice to [email protected] (or the platform contact route) identifying the content, your rights, and the grounds for the claim. MedTrade will review the notice and may remove or restrict access to the identified content where appropriate, and may inform the user who submitted it.

Content submitted by users is the responsibility of the user who submitted it. By submitting content you confirm that it does not infringe the intellectual property rights of any third party, and you agree to cooperate with MedTrade’s reasonable requests to resolve infringement complaints.

These Terms are governed by the laws of England and Wales unless mandatory law requires otherwise. Disputes should first be raised in good faith with MedTrade so the parties can attempt a practical resolution before formal proceedings. Subject to that good-faith step, you and MedTrade submit to the exclusive jurisdiction of the courts of England and Wales for any disputes arising out of or relating to these Terms or the platform.

MedTrade may update these Terms as the platform evolves. Material updates will be reflected through a revised effective date and, where appropriate, additional notice inside the service.
